Within the framework of corporate governance, we develop instruments to support the effective management of the Company, conduct effective supervision and transparent communication with the market. Everything is always done with respect for shareholders' rights.

Company authorities

The General Meeting of Shareholders is the highest body of Shoper S.A.. Approves financial reports and the Board of Directors' reports on the Company's activities. Nominates and dismisses members of the Supervisory Board. Modifies the Articles of Association, increases share capital, issues convertible bonds and repurchases shares.

Members of the Supervisory Board are appointed by the General Meeting, and in turn the Supervisory Board appoints members of the Management Board and supervises their work.

The Company's Board of Directors, as an executive body, is obliged to act in accordance with the interests of the entire enterprise and with the aim of achieving sustainable growth in the Company's value. The responsibilities of the Board of Directors apply to all aspects of the Company's business.

Information policy

The main objective of our Company's communication with the market is to guarantee equal access to information, effective exchange of data, and to build trust among individual and institutional investors, domestic and foreign.

We provide equal access to information about the Company by:

  • Scrupulous fulfillment of information obligations arising from the Company's operation on the regulated market;

  • application of corporate governance principles;

  • Maintaining communication with all capital market participants in accordance with the highest standards and market practices.

We communicate with the investment community by means of:

  • Investor Relations service, which is updated on an ongoing basis;

  • current and periodic reports transmitted through the official reporting system Electronic System for the Transmission of Information (ESPI);

  • Materials from General Meetings of Shareholders;

  • Performance conferences, each time after the publication of periodic reports;

  • participation of representatives of the Board of Directors and the Investor Relations team in conferences for investors in Poland and abroad;

  • meetings and one-on-one interviews.
